These Terms of Service (“Terms”) govern your access to and use of EmailTool’s website, platform, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms.
1. The Service
EmailTool provides email marketing, CRM, campaign creation, email verification, deliverability tools, analytics, and related features. Features may vary by plan. We may update, improve, or discontinue features with reasonable notice when material.
2. Accounts and Eligibility
- You must provide accurate account information and keep it updated.
- You are responsible for activity under your account and for keeping credentials secure.
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
- If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. Acceptable Use
You agree not to:
- Send spam, unsolicited bulk email, or messages that violate anti-spam laws (including CAN-SPAM, CASL, or GDPR marketing rules where applicable).
- Upload or send content that is illegal, harmful, deceptive, or infringes others’ rights.
- Attempt to bypass security, abuse APIs, or interfere with the Service.
- Use purchased, rented, or scraped contact lists without lawful basis and proper consent.
- Misrepresent sender identity or forge headers.
We may suspend or terminate accounts that violate these rules or harm deliverability for other customers.
4. Your Content and Data
You retain ownership of content and contact data you upload (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide the Service. You are responsible for the legality of Customer Data and for obtaining required consents from your contacts.
5. Plans, Fees, and Billing
- Paid plans are billed according to the pricing shown at purchase or in your account.
- Fees are generally non-refundable except where required by law or stated otherwise.
- We may change pricing with notice before the next billing cycle.
- Failure to pay may result in suspension or termination of access.
6. Intellectual Property
EmailTool, including software, branding, templates we provide, and documentation, is owned by us or our licensors. These Terms do not transfer ownership of our intellectual property to you. You may not copy, reverse engineer, or resell the Service except as expressly allowed.
7. Third-Party Services
The Service may integrate with third-party tools (CRM, CMS, eCommerce, automation platforms). Your use of those tools is governed by their terms. We are not responsible for third-party services.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE uninterrupted service, inbox placement rates, or specific campaign results.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMAILTOOL AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
10. Indemnification
You agree to indemnify and hold EmailTool harmless from claims arising out of your Customer Data, your email campaigns, your violation of these Terms, or your violation of applicable law or third-party rights.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or prolonged inactivity. Upon termination, your right to use the Service ends. Sections that by nature should survive will survive termination.
12. Changes to Terms
We may update these Terms from time to time. We will post the updated Terms with a new date. Continued use after the effective date constitutes acceptance.
13. Governing Law
These Terms are governed by the laws applicable in our principal place of business, without regard to conflict-of-law rules, unless mandatory consumer protections in your country apply.
